ISLAMABAD – What began with PTCL’s acquisition of Telenor Pakistan could now lead to one of Pakistan’s biggest fintech deals. The telecom giant is reportedly pursuing a majority stake in mobile wallet and digital banking service EasyPaisa.
As per reports, PTCL is moving to acquire Easypaisa, the country’s largest digital financial services platform to reshape Pakistan’s telecom and fintech landscape. The company’s high-ups approved submission of binding offer to purchase majority stake in Easypaisa. If completed, the acquisition would rank among the biggest corporate transactions in Pakistan’s telecommunications and digital finance sectors.
The proposed deal comes as PTCL advanced its digital expansion strategy amid the acquisition of Telenor Pakistan, with the ambition to build a comprehensive digital ecosystem that extends beyond traditional telecom services.
In its recent disclosure to PSX, the company informed investors that its board authorized a binding offer for a majority stake in an undisclosed business. PTCL withheld the identity of the target, citing confidentiality obligations and absence of final agreement. People aware of negotiations said the transaction has now entered the due diligence stage, with both sides examining financial, legal and operational matters before moving towards final commercial terms.
The proposed acquisition will still require regulatory approvals, successful negotiations and the signing of definitive agreements before it can be completed. The telecom giant assured investors that any material developments related to the transaction would be disclosed in accordance with regulatory requirements once confidentiality restrictions allow.
If the acquisition goes ahead, Easypaisa would once again become part of the PTCL Group after the telecom giant’s takeover of Telenor Pakistan. The move would also place one of Pakistan’s most influential digital payment platforms under PTCL’s expanding portfolio.
The acquisition strengthen PTCL’s digital ambitions by combining its nationwide telecom infrastructure and millions of subscribers with Easypaisa’s digital wallet, mobile payment services, merchant network and branchless banking operations. The integration could open new opportunities for digital payments, financial inclusion and technology-driven services across Pakistan.
PTCL’s expansion journey started when Norway’s Telenor Group decided to exit Pakistan. In December 2023, PTCL signed agreement to acquire Telenor Pakistan and Orion Towers in deal worth nearly Rs108 billion. After clearing regulatory hurdles, including approvals from the Competition Commission of Pakistan (CCP) and the Pakistan Telecommunication Authority (PTA), the acquisition was officially completed in December 2025.
The integration process did not stop there. PTCL began combining Telenor Pakistan’s operations with its mobile subsidiary, Ufone, bringing together network infrastructure, spectrum assets and millions of subscribers. The legal merger was completed on July 1, 2026, with Telenor Pakistan becoming part of Pakistan Telecommunication Mobile Limited (PTML), while the Telenor brand is expected to be phased out over time.
With PTCL already operating fixed-line broadband, fibre internet, enterprise services and Ufone’s nationwide mobile network, the addition of Easypaisa would significantly expand its presence in Pakistan’s digital economy.
